Deadline for refinancing of owners' loans is 6 October/ppTom Hicks and George Gillett's ill-starred reign as owners of Liverpool looks like having less than a month to run after the club's loans with Royal Bank of Scotland were placed into its toxic-assets division./ppThe deadline for the refinancing of the owners' personal loans from RBS is 6 October, and that now looks set to be the date that Hicks and Gillett's association with England's most successful club will end. The bank's decision to switch the debts to its Global Restructuring Group is the strongest possible signal that these loans will not be extended./ppThe co-owners' previous attempt to refinance the debts in June, when they are believed to have offered to secure the loans against their US assets, was overruled by the club's board, led by the chairman, Martin Broughton. Now, with the loans having been shifted into RBS's so-called "bad bank", where all toxic assets have been housed since last year, it is clear the club's lender has also adopted a more steely stance towards the Americans./ppOne source with a knowledge of Liverpool's dealings with RBS said: "If it has been taken out of the hands of the corporate banking department they'll have a much more ruthless approach on 6 October." An informed view from another source close to the situation is that the bank would hope to sell the club, possibly at a knockdown price, in the coming weeks or as soon possible after 6 October./ppAccording to the club's accounts to July 2009 Liverpool's owners owe £237.4m to RBS. Through a variety of companies in the UK and overseas, Hicks and Gillett are also personally exposed to tens of millions of pounds in other commitments to the club and its lender. These have been in the form of a mixture of cash, which the pair have injected through equity, and guarantees to the RBS loans. Last year's accounts stated this combination amounted to £145.3m, although it is believed to have risen dramatically after the last refinancing agreed five months ago./ppRBS would hope to achieve an orderly sale without having to take control of Liverpool. However, depending on the terms of the April refinancing agreement ? which have never been made public ? that may prove difficult if the co-owners, who value the club at £800m, refuse to go quietly./ppOne tool at RBS's disposal is to force the insolvency of Liverpool's UK parent and associated companies. It is clear from mortgage documents lodged with Companies House that in the event of default RBS has the power to place Kop Football and Kop Football (Holdings), as well as Gillett's loan-security vehicle, Football UK Ltd, into administration. However that would be unpalatable for the bank, Liverpool's board and the Premier League since it would require the imposition of a nine-point penalty on the club./ppBy exercising those clauses the bank would also effectively take control of Liverpool. Although RBS's restructuring group describes itself as being responsible for "the management of any problem lending portfolios", the bank has no long-term plans to hold the club as its subsidiary. Instead it is expected RBS would prefer to fulfil another of its stated aims ? the "maximising [of] debt recoveries" ? by selling the club in short order./ppThat means there are also strong signs RBS will now be prepared to accept a knockdown price in order to cut its ties. During negotiations with prospective buyers Broughton, and the investment bank advising him, Barclays Capital, have maintained that Liverpool's debts with RBS must be paid in full as a minimum sale price./ppProvided buyers still retain an interest in taking over Liverpool beyond 6 October, it will mean a more orderly sale process. There would be only one party for purchasers to negotiate with and the club would be debt free./ppThe departure of Hicks and Gillett is an outcome that would delight Liverpool fans. The Kop Faithful group wrote in an open letter to the RBS group's chief executive, Stephen Hester, this week: "Hicks and Gillett were proved to be no more than a pair of liars. 'If the truth be known, we are still over-staffed'/ppRoy Hodgson believes Liverpool still have too big a squad, despite allowing a number of players to move on over the summer./ppSince taking over from predecessor Rafael Benítez, Hodgson has allowed the likes of Alberto Aquilani, Emiliano Insúa, Albert Riera, Diego Cavalieri, Philipp Degen, Nabil El Zhar, Krisztian Nemeth and Damien Plessis to leave, either permanently or on loan. The midfielders Javier Mascherano and Yossi Benayoun also departed, although that was their choice and not the manager's./ppHodgson has, in the meantime, bolstered the British and homegrown quota at Anfield with the arrivals of Joe Cole, Paul Konchesky, Brad Jones, Danny Wilson, while also signing Denmark's Christian Poulsen and the Portugal international Raul Meireles. But the Liverpool manager is keen to see the club continue to trim down./pp"We were unbelievably over-staffed when I came to the club and, if the truth be known, we still are over-staffed," said Hodgson. "It was just as big a job making sure some of the players who never feature for the first team move on and that we limit our squad to players who are either in the frame to play first-team football or who have a bright future who are still anxious to play academy and reserve team football./pp"We don't want that middle group who are too old for reserve football but are not serving any purpose for the first team because they never feature."/ppIt could be argued that because of Liverpool's current financial position, with the club still up for sale and no immediate sign of a change of ownership, the manager  never had any choice about pruning the playing staff. However, Hodgson has been clear about the direction he wants to take the club in and believes his transfer activity this summer, while not spending a huge amount on fees, has achieved some of those objectives./pp"We should be very happy. A lot of hard work has gone in and you have to mention Christian Purslow [managing director] and Eduardo Macia [chief scout]," said the former Fulham manager. "Both worked really hard during the transfer window to do the deals I wanted to happen but also to do deals for quite a few players to leave the club./pp"It was important to sign a quality midfielder when we lost Javier. We had half-prepared for his departure by jumping in to sign Christian Poulsen when he became available, but it was important for us to keep strong in that area./pp"We loaned out Alberto Aquilani and so we are pleased to have been able to bring in Meireles. He is experienced in the Champions League, in international football, has had proven success at Porto and is an all-round midfielder who is capable of playing in all three of the central midfield positions./pp"He has a pedigree which we researched, followed and studied. I followed him at my previous club so it was good when I heard he could be available and that we could do the business quickly."/ppHodgson also revealed that Konchesky basically forced Fulham to sell him once Liverpool had made their approach./pp"It was difficult because Fulham were anxious to keep him and were against letting him go," he added. "Our good fortune was he was in the last year of his contract and he made it clear that if they didn't let him go he wouldn't sign a new contract./pp"That was useful for us because otherwise it would have been very difficult to get him. There aren't many quality left-backs around in the world, never mind in England, so to find an English one who can go straight into the team without any adjustment problems is a big advantage./pp"He is a player I know and have worked with and he knows the way we try to play and the things we try to do.
